Jenzabar Inc. is the coalescence of five companies (CARS, Quodata, CMDS, Campus America, and Jenzabar.com [an Internet infrastructure company with a higher education portal, instructional management, and intranet functionality]) into the largest provider of software solutions singularly devoted to Higher Education. That is quite an accomplishment, and - with its next-generation products currently under development - Jenzabar has the experienced personnel and resources to transform this industry.

By improving the exchange of information through powerful business intelligence applications and services, Jenzabar's Internet enterprise software, e-learning solutions, and services deliver a competitive edge to higher education institutions. Dedicated to supporting and enhancing the educational community, Jenzabar's business units serve 1,000 higher education institutions worldwide, including students, professors, and administrators from private liberal arts, medical, law, state, and community colleges. Institutions employing Jenzabar solutions include The Claremont Colleges, Colby College, Daytona Beach Community College, William Mitchell College of Law, Governors State University, Bluffton College, Florida Southern College, College of Southern Idaho, Bay de Noc Community College, Berry College, and Harvard Medical School. Jenzabar's offerings include Web-based enterprise software with student, institutional advancement, human resources, and financial applications; e-learning solutions; and a higher education enterprise information portal (EIP). Institutions of higher education each have unique requirements for information processing technology. Others are searching for lower-cost applications with reliable support and security. In bringing together the best software developed by each of its five companies, Jenzabar has a family of products that addresses the exacting needs of any institution. The Jenzabar 200 Series Solution is fully developed: an environment that is stable, dependable, and easy to use as-is, out of the box, targeted at institutions requiring lower-cost applications with reliable support and security. The Jenzabar 300 Series Solution targets institutions requiring advanced functionality, tools, and support for high-transaction volumes, in addition to a high degree of customization potential.

Jenzabar TE
Through access to immediate strategic information, Jenzabar TE allows administrators to personalize the student's collegiate experience. Jenzabar TE and the IBM AS/400 provide ease of use, flexibility, powerful information handling capabilities, and excellent connectivity.

Jenzabar TE provides a complete administrative solution in a Windows environment. It targets new and existing AS/400 customers that want a GUI interface to their management software.

Jenzabar QE
As part of a campus-wide network, Jenzabar QE runs on a Digital Alpha server with PCs and Macs, features an excellent, built-in security system, and allows users to access information anywhere on or off campus. All applications are written using flexible, responsive 4GL tools. Easily customizable, Jenzabar QE allow users to add database elements, change or create screens, change table values and business rules, modify reports, and add new graphical displays - all without programming. Jenzabar QE features client/server architecture that combines easy Graphical User Interface (GUI) point-and-click with rich functionality, allowing users to move anywhere within the system (security permitting) and obtain instant access to data, reports, and graphics.

Jenzabar PX
Jenzabar PX includes a powerful 4GL (Fourth Generation Language) data management system and a variety of comprehensive administrative software applications for the higher education market. Jenzabar PX software applications are designed to operate primarily on an OpenVMS operating system on VAX or AlphaServer platforms. OpenVMS is consistently ranked at the top by software analysts for the scalability, reliability, integrity, security, and robustness that clients consider important.

The Jenzabar PX Administrative Product Suite includes two foundational, ten student, and six financial systems.

Jenzabar QX
Jenzabar QX includes everything from Jenzabar QE, except that Jenzabar QX runs on Alpha or Intel servers with PC clients; requires programming; all applications are written using flexible, responsive object-oriented tools; and its client/server architecture combines the intuitive Windows(r) interface point-and-click with rich functionality.

Jenzabar EX Series
By providing an easy-to-implement, easy-to-use environment, Jenzabar's fully developed EX solution reduces the complexity of implementing and supporting an institution's technology vision.

Jenzabar's EX Series campus solution includes the powerful QuickView reporting tools. QuickView tools enable institutions to measure an institution's performance from many perspectives as well as track costs, make historical comparisons, and recognize trends.

Jenzabar CX
Jenzabar CX offers a total solution to institutions of higher education that provides all of the advantages of high-end processing - advanced functionality, tools, support for typically larger institutions that handle higher transaction volume, and significantly more robust customization features. Using the Web portal and Internet infrastructure of Jenzabar, Jenzabar CX supports the e-business and administrative functions with a complete suite of software applications, including Student, Financial, Institutional Advancement, Human Resources, Finance, and Management Reporting. Jenzabar CX's Web products and instructional management systems offer many Web-based services to students, faculty, and staff.
In addition, Jenzabar can provide the server platform for its applications through its re-seller agreements with IBM and Hewlett Packard.

IT professionals with the right skills are enjoying a seller's market. By helping to satisfy this demand, colleges and universities can benefit from increased revenue. Jenzabar offers IT Certification (ITC)Training for both Microsoft and Webmaster and can put together programs for colleges and universities taught by on-campus, certified instructors. We have a different approach than that of other companies that just do general IT training. Typically, Jenzabar's name is not prominent nor even mentioned; we prefer to build programs that increase recognition of an institution's name and create a synergy with currently offered programs. The focus is to help colleges and universities build community with their constituents. Our strategy is to find clients who become long-term partners. Jenzabar will provide the instructors, curriculum materials, web content, and assistance with logistics. Our curriculum is blended, which means the student has the entire curriculum available both in paper text for classroom use and on the web for studying at home. Our partners market the programs and provide classroom space with the appropriate equipment. We share tuition revenue.

Management
Bob Maginn, Chairman and CEO
Bob holds an MBA with distinction from Harvard Business School and a Masters Degree (ALM) in Government from Harvard University. Previously a senior partner and a member of the Board of Directors of Bain & Company, he has two decades of experience in business strategy.

Ling Chai, President and Chief Operating Officer
In 1989, Ling was a student leader of the pro-democracy student movement in China's Tiananmen Square. After having fled for her life from Chinese authorities and with little else in the world than the clothes on her back, she arrived in the United States in 1990. Undeterred, Ling earned an MPA degree from The Woodrow Wilson School at Princeton and an MBA from Harvard. From 1993 to 1996, she worked as a consultant at Bain & Company, a leading business strategy consulting firm, and in investment banking with Morgan Stanley. For her role in the Tiananmen Square student movement, Ling has twice been nominated for the Nobel Peace prize.

Myron Congdon, President of ITC
One of Quodata's founders in 1971, Myron is responsible for organizing Jenzabar's marketing strategies. He holds a B.A. in Mathematics from Whitman College and a Ph.D. in Nuclear Engineering from the University of Washington.

Strategy
The consolidation of five companies under one corporate umbrella affords Jenzabar greater power in the small- to medium-sized institutional market. It achieves this by coalescing the four ERP vendors' customer bases and integrating those products with Jenzabar.com's enterprise portal and a course management system. Jenzabar CX has the power to gain new business from the upper end of Jenzabar's target market.

Having created a stable management and support structure and a more consistent product branding, Jenzabar is focusing its energies on developing superior portal integration and course management systems within the framework of its present product structure as well as developing next-generation products and delivery systems that bring together database independence, a Java-based n-tier architecture, and total Web-centric delivery.

With the portal positioned as the Web gateway to all Jenzabar products, we are currently developing two next-generation Web-enabled products targeted at two strong market segments in higher education. The first product, developed by uniting the best features from two of Jenzabar's current ERP solutions, will target small to medium-sized institutions and will emphasize ease of use, implementation, and support. The second product, an enhanced Web-based version of another ERP solution, will target medium-sized to large institutions and will emphasize the ability to adapt product features and support more complex processing issues. We refer to this suite of offerings as Jenzabar's Internet Campus Solution(tm).
We can sum up our strategy in three words: Intelligent, Integrated, and Internet.

Intelligent. Our Enterprise Smart Portal turns the sometimes-overwhelming amount of the information and activities involved with the campus into one single source.

While our enterprise solutions effectively support business processes, our portal delivers a user-specific experience to constituents, offering services relevant to the individual user and providing the learning community a transformation experience. More than simply a gateway to all the essential information to a learner, a faculty member, or an administrative officer, our Enterprise Smart Portal is thoughtfully engineered to be a personal organizer and intelligent tool.

Designed to leverage vast amounts of institutional information into an individual experience, Jenzabar's Enterprise Smart Portal enables one to display, screen, and sort all the necessary and important day-to-day functions and work flow and place task lists and campus announcements into users' calendars. Intelligent features alert users about items of immediate attention and response, such as an assignment's due date. The Enterprise Smart Portal becomes a user's virtual point-of-contact to the campus, where the user can plug in their hand-held personal digital assistant and cell phone when traveling and where they go to first every day to find what they have to do.

Our portal presents a coherent, but also personalized, impression of the institution in the same way that the physical campus does. This is important to sustain a competitive edge. Portals will be used to manage an institution's information assets [search and categorization, personalization], knowledge assets [through the integration of the data and applications, collaborations, and the support for mobile and wireless] and their human assets through process integration. And we are planning for the future, a future where enterprise portal will evolve to the e-business platform.

Integrated. Our Constituent Relationship Management (CRM) software (dramatically more than a traditional ERP) provides staff with immediate and integrated access to complete student profiles - without having to move from system to system. It treats the admissions, financial aid, and academic records departments as a single entity, assisting all constituents by:
* Enabling service personnel to assist students properly
* Presenting a quality experience to a potential student
* Providing faculty easy access to course, schedule, and grade data
* Helping administrators to develop and monitor fundraising initiatives
* Tying alumni to their alma mater and maintaining their financial support

Financials
Jenzabar has a history of profitability. Although Jenzabar does not publish detailed financial information, it remains fiscally strong with excellent credit and financial stability to fund the new product and service development it determines is required to meet the needs of its target markets.
Jenzabar has consistently increased shareholder value, Jenzabar's 2001 first quarter numbers indicate that total revenues were up 16%, gross profit up 37%, and gross margin up 19% over the previous year. For the second half of 2001, all figures are running ahead of plan.
